Membership:
The City of Shamballa is a free network. However, access to some event documents is not free and requires Premium Membership which supports the City of Shamballa hosting costs and keeps the website running. Premium Membership subscriptions are $12.99 per quarter or $49.99 per year or $99.99 for lifetime membership. Payment options include credit card, debit card or PayPal account through our payment processor PayPal. Other currencies are accepted and converted by our payment processor PayPal. Payment transactions are secure through PayPal and your financial information is not shared with this network. For Premium Members that chose the quarterly or annual subscription, upon expiration of the subscription they will receive a message asking them to renew their subscription to continue access to the Premium Member Access page. There are no automatic subscription renewals.

You own all of the content and information you post on The City of Shamballa, and you can control how it is shared through your privacy and application settings. In addition:
1. For content that is covered by intellectual property rights, like photos and videos (IP content), you specifically give us the following permission, subject to your privacy and application settings: you grant us a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use any IP content that you post on or in connection with The City of Shamballa (IP License). This IP License ends when you delete your IP content or your account unless your content has been shared with others, and they have not deleted it.

1. Your relationship with The City of Shamballa Social Network and Chris Comish
1.1 Your use of The City of Shamballa Social Network/Chris Comish’s products, software, services and web sites (referred to collectively as the “Services” in this document and excluding any services provided to you by The City of Shamballa Social Network/Chris Comish under a separate written agreement) is subject to the terms of a legal agreement between you and The City of Shamballa Social Network/Chris Comish. “The City of Shamballa” means The "City of Shamballa Social Network", whose principal place of business is the location of Chris Comish. This document explains how the agreement is made up, and sets out some of the terms of that agreement.
2. Accepting the Terms
2.1 In order to use the Services, you must first agree to the Terms. You may not use the Services if you do not accept the Terms.
2.2 You accept the Terms by:
(a) actually using the Services. In this case, you understand and agree that The City of Shamballa/Chris Comish will treat your use of the Services as acceptance of the Terms from that point onwards.
2.3 You may not use the Services and may not accept the Terms if (a) you are not of legal age to form a binding contract with The City of Shamballa/Chris Comish, or (b) you are a person barred from receiving the Services under the laws of the United States or other countries including the country in which you are resident or from which you use the Services.
3. Language of the Terms
3.1 Where The City of Shamballa/Chris Comish has provided you with a translation of the English language version of the Terms, then you agree that the translation is provided for your convenience only and that the English language versions of the Terms will govern your relationship with The City of Shamballa/Chris Comish.
3.2 If there is any contradiction between what the English language version of the Terms says and what a translation says, then the English language version shall take precedence.
4. Proprietary rights
4.1 You acknowledge and agree that The City of Shamballa Social Network/Chris Comish (or their licensors) own all legal right, title and interest in and to the Services, including any intellectual property rights which subsist in the Services (whether those rights happen to be registered or not, and wherever in the world those rights may exist). You further acknowledge that the Services may contain information which is designated confidential by The City of Shamballa/Chris Comish and that you shall not disclose such information without The City of Shamballa Social Network/Chris Comish’s prior written consent.
4.2 Unless you have agreed otherwise in writing with The City of Shamballa Social Network/Chris Comish, nothing in the Terms gives you a right to use any of The City of Shamballa Social Network/Chris Comish’s trade names, trade marks, service marks, logos, banners, domain names, and other distinctive brand features.
4.3 If you have been given an explicit right to use any of these brand features in a separate written agreement with The City of Shamballa/Chris Comish, then you agree that your use of such features shall be in compliance with that agreement, any applicable provisions of the Terms, and The City of Shamballa/Chris Comish's brand feature use guidelines as updated from time to time.
4.4 Other than the limited license set forth in Section 4.3, The City of Shamballa/Chris Comish acknowledges and agrees that it obtains no right, title or interest from you (or your licensors) under these Terms in or to any Content that you submit, post, transmit or display on, or through, the Services, including any intellectual property rights which subsist in that Content (whether those rights happen to be registered or not, and wherever in the world those rights may exist). Unless you have agreed otherwise in writing with The City of Shamballa/Chris Comish, you agree that you are responsible for protecting and enforcing those rights and that The City of Shamballa/Chris Comish has no obligation to do so on your behalf.
4.5 You agree that you shall not remove, obscure, or alter any proprietary rights notices (including copyright and trade mark notices) which may be affixed to or contained within the Services.
4.6 Unless you have been expressly authorized to do so in writing by The City of Shamballa Social Network/Chris Comish, you agree that in using the Services, you will not use any trade mark, service mark, trade name, logo, banner of any company or organization in a way that is likely or intended to cause confusion about the owner or authorized user of such marks, names, logos or banners.
5. You expressly understand and agree that your use of the services is at your sole risk and that the services are provided "as is" and “as available.”
5.1 In particular, The City of Shamballa Social Network/Chris Comish, The City of Shamballa subsidiaries and affiliates, and its licensors do not represent or warrant to you that:
(a) your use of the services will meet your requirements,
(b) your use of the services will be uninterrupted, timely, secure or free from error,
(c) any information obtained by you as a result of your use of the services will be accurate or reliable, and
(d) that defects in the operation or functionality of any software provided to you as part of the services will be corrected.
5.2 Any material downloaded or otherwise obtained through the use of the services is done at your own discretion and risk and that you will be solely responsible for any damage to your computer system or other device or loss of data that results from the download of any such material.
5.3 No advice or information, whether oral or written, obtained by you from The City of Shamballa Social Network, Chris Comish or through or from the services shall create any warranty not expressly stated in the terms.
5.4 The City of Shamballa Social Network/Chris Comish further expressly disclaim all warranties and conditions of any kind, whether express or implied, including, but not limited to the implied warranties and conditions of merchantability, fitness for a particular purpose and non-infringement.
6. Limitation of liability
6.1 Subject to overall provision in paragraph 5.1 above, you expressly understand and agree that The City of Shamballa Social Network, including creator Chris Comish, The City of Shamballa subsidiaries and affiliates, and its licensors shall not be liable to you for:
(a) any direct, indirect, incidental, special consequential or exemplary damages which may be incurred by you, however caused and under any theory of liability. This shall include, but not be limited to, any loss of profit (whether incurred directly or indirectly), any loss of goodwill or business reputation, any loss of data suffered, cost of procurement of substitute goods or services, or other intangible loss;
(b) any loss or damage which may be incurred by you, including but not limited to loss or damage as a result of:
(i) any reliance placed by you on the completeness, accuracy or existence of any advertising, or as a result of any relationship or transaction between you and any advertiser or sponsor whose advertising appears on the services;
(ii) any changes which The City of Shamballa Social Network/Chris Comish may make to the services, or for any permanent or temporary cessation in the provision of the services (or any features within the services);
(iii) the deletion of, corruption of, or failure to store, any content and other communications data maintained or transmitted by or through your use of the services;
(iii) your failure to provide The City of Shamballa Social Network/Chris Comish with accurate account information;
(iv) your failure to keep your password or account details secure and confidential;
6.2 the limitations on The City of Shamballa Social Network/Chris Comish’s liability to you in paragraph 6.1 above shall apply whether or not The City of Shamballa Social Network/Chris Comish has been advised of or should have been aware of the possibility of any such losses arising.
7. General Legal Terms
7.1 Sometimes when you use the Services, you may (as a result of, or through your use of the Services) use a service or download a piece of software, or purchase goods, which are provided by another person or company. Your use of these other services, software or goods may be subject to separate terms between you and the company or person concerned. If so, the Terms do not affect your legal relationship with these other companies or individuals.
7.2 The Terms constitute the whole legal agreement between you and The City of Shamballa Social Network/Chris Comish and govern your use of the Services (but excluding any services which The City of Shamballa Social Network/Chris Comish may provide to you under a separate written agreement), and completely replace any prior agreements between you and The City of Shamballa/Chris Comish in relation to the Services.
7.3 You agree that The City of Shamballa/Chris Comish may provide you with notices, including those regarding changes to the Terms, by email, regular mail, or postings on the Services.
7.4 You agree that if The City of Shamballa/Chris Comish does not exercise or enforce any legal right or remedy which is contained in the Terms (or which The City of Shamballa/Chris Comish has the benefit of under any applicable law), this will not be taken to be a formal waiver of The City of Shamballa/Chris Comish’s rights and that those rights or remedies will still be available to The City of Shamballa Social Network/Chris Comish.
7.5 If any court of law, having the jurisdiction to decide on this matter, rules that any provision of these Terms is invalid, then that provision will be removed from the Terms without affecting the rest of the Terms. The remaining provisions of the Terms will continue to be valid and enforceable.
7.6 You acknowledge and agree that each member of the group of companies of which The City of Shamballa Social Network/Chris Comish is the parent shall be third party beneficiaries to the Terms and that such other companies shall be entitled to directly enforce, and rely upon, any provision of the Terms which confers a benefit on (or rights in favor of) them. Other than this, no other person or company shall be third party beneficiaries to the Terms.
7.7 The Terms, and your relationship with The City of Shamballa Social Network/Chris Comish under the Terms, shall be governed by the laws of the State of Colorado without regard to its conflict of laws provisions. You and The City of Shamballa/Chris Comish agree to submit to the exclusive jurisdiction of the courts located within the State of Colorado to resolve any legal matter arising from the Terms.
(a) notwithstanding this, you agree that The City of Shamballa Social Network/Chris Comish shall still be allowed to apply for injunctive remedies (or an equivalent type of urgent legal relief) in any jurisdiction.
7.7a Disputes with The City of Shamballa Social Network/Chris Comish
You and The City of Shamballa Social Network/Chris Comish agree that any claim or dispute at law or equity that has arisen or may arise between us will be resolved in accordance with the provisions set forth in this Section (Section 7.7a: Disputes with The City of Shamballa Social Network/Chris Comish). Please read this Section carefully. It affects your rights and will impact how claims you and we have against each other are resolved.
7.7a1 Contact The City of Shamballa Social Network/Chris Comish first
If a dispute arises between you and The City of Shamballa Social Network/Chris Comish, our goal is to learn about and address your concerns and, if we are unable to do so to your satisfaction, to provide you with a neutral and cost effective means of resolving the dispute quickly. Disputes between you and The City of Shamballa Social Network/Chris Comish regarding the Services may be reported to Customer Service online by emailing Chris Comish at com5corp(at)yahoo.com.
7.7a2 Applicable Law. You agree that the laws of the State of Colorado, without regard to principles of conflict of laws, will govern this User Agreement and any claim or dispute that has arisen or may arise between you and The City of Shamballa Social Network/Chris Comish, except as otherwise stated in these Terms of Service.
7.7a3 Agreement to Arbitrate. You and The City of Shamballa Social Network/Chris Comish each agree that any and all disputes or claims that have arisen or may arise between you and The City of Shamballa Social Network/Chris Comish shall be resolved exclusively through final and binding arbitration, rather than in court, except that you may assert claims in small claims court, if your claims qualify. The Federal Arbitration Act governs the interpretation and enforcement of this Agreement to Arbitrate.
7.7a3-1.Prohibition of Class and Representative Actions and Non-Individualized Relief.
YOU AND THE CITY OF SHAMBALLA SOCIAL NETWORK/CHRIS COMISH AGREE THAT EACH OF US MAY BRING CLAIMS AGAINST THE OTHER ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION OR PROCEEDING. UNLESS BOTH YOU AND THE CITY OF SHAMBALLA SOCIAL NETWORK/CHRIS COMISH AGREE OTHERWISE, THE ARBITRATOR MAY NOT CONSOLIDATE OR JOIN MORE THAN ONE PERSON'S OR PARTY'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A CONSOLIDATED, REPRESENTATIVE, OR CLASS PROCEEDING. ALSO, THE ARBITRATOR MAY AWARD RELIEF (INCLUDING MONETARY, INJUNCTIVE, AND DECLARATORY RELIEF) ONLY IN FAVOR OF THE INDIVIDUAL PARTY SEEKING RELIEF AND ONLY TO THE EXTENT NECESSARY TO PROVIDE RELIEF NECESSITATED BY THAT PARTY'S INDIVIDUAL CLAIM(S). ANY RELIEF AWARDED CANNOT AFFECT OTHER CITY OF SHAMBALLA SOCIAL NETWORK USERS.
7.7a3-2.Arbitration Procedures.
Arbitration is more informal than a lawsuit in court. Arbitration uses a neutral arbitrator instead of a judge or jury, and court review of an arbitration award is very limited. However, an arbitrator can award the same damages and relief on an individual basis that a court can award to an individual. An arbitrator also must follow the terms of this User Agreement as a court would.
The arbitration will be conducted by the American Arbitration Association ("AAA") under its rules and procedures, including the AAA's Supplementary Procedures for Consumer-Related Disputes (as applicable), as modified by this Agreement to Arbitrate. The AAA's rules are available at www.adr.org. A form for initiating arbitration proceedings is available on the AAA's website at http://www.adr.org.
The arbitration shall be held in the county of Chris Comish's choice within the State of Colorado. If the value of the relief sought is $10,000 or less, you or The City of Shamballa Social Network/Chris Comish may elect to have the arbitration conducted by telephone or based solely on written submissions, which election shall be binding on you and The City of Shamballa Social Network/Chris Comish subject to the arbitrator's discretion to require an in-person hearing, if the circumstances warrant. Attendance at an in-person hearing may be made by telephone by you and/or The City of Shamballa Social Network/Chris Comish, unless the arbitrator requires otherwise.
The arbitrator will decide the substance of all claims in accordance with the laws of the State of Colorado, including recognized principles of equity, and will honor all claims of privilege recognized by law. The arbitrator shall not be bound by rulings in prior arbitrations involving different City of Shamballa Social Network users, but is bound by rulings in prior arbitrations involving the same City of Shamballa Social Network user to the extent required by applicable law. The arbitrator's award shall be final and binding, and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.
7.7a3-3.Costs of Arbitration.
Payment of all filing, administration, and arbitrator fees will be governed by the AAA's rules.
7.7a3-4.Severability.
With the exception of any of the provisions in subsection (a) of this Agreement to Arbitrate ("Prohibition of Class and Representative Actions and Non-Individualized Relief"), if a court decides that any part of this Agreement to Arbitrate is invalid or unenforceable, the other parts of this Agreement to Arbitrate shall still apply. If a court decides that any of the provisions in subsection (a) of this Agreement to Arbitrate ("Prohibition of Class and Representative Actions and Non-Individualized Relief") is invalid or unenforceable, then the entirety of this Agreement to Arbitrate shall be null and void. The remainder of the User Agreement, including all other provisions of Section 7.7a (Disputes with The City of Shamballa Social Network/Chris Comish), will continue to apply.
•7.7b. Release of the City of Shamballa Social Network/Chris Comish.
Section 7.7a is being amended to state:
If you have a dispute with one or more Users, you release The City of Shamballa/Chris Comish (our affiliates, and our respective officers, directors, agents, joint ventures, employees and suppliers) from any and all Claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such disputes. In entering into this release you expressly waive any protections (whether statutory or otherwise that would otherwise limit the coverage of this release to include only those claims which you may know or suspect to exist in your favor at the time of agreeing to this release.

The following Terms of Service apply to your use of this Network. You are solely responsible for your conduct and your content on the Network and compliance with these terms. By registering with us or using or browsing this Network, you acknowledge that you have read, understood, and agree to be bound by these terms. This Network is not intended for children younger than 18 and is offered only to users 18 years of age or older. If you are under 16 years old, please do not use this network unless you have received a written permission (consent) from a parent or legal guardian.
You may use this Network provided that you have the power to enter a binding contract with us and are not barred from doing so under any applicable law of your country.
